Ownership strategy work for Drammen Municipality
Reference number: 23/24264Drammen kommune Municipality was established as a new municipality on 01.01.2020 after merging with Svelvik, Nedre Eiker and the previous Drammen Municipality. Drammen Municipality aims to be an active owner. Drammen Municipality has many owner positions - in total approx. 35. Of these, 20 are public limited companies (AS), seven are inter-municipal companies (IKS), and two are municipal companies (KF). Many of the companies have more owners than Drammen Municipality.
As an owner, Drammen Municipality needs to define its objectives and strategies for each individual company that the municipality has ownership interest in. Drammen Municipality would like to connect with external assistance to carry out owner strategic review work. The goal of the assistance is to get external environments to review the companies" activities and, amongst other things, map Drammen Municipality"s intentions and objectives of their ownership.
Drammen
In April 2020 the municipal council decided upon Drammen Municipality"s ownership policy for the period 2020 - 2024. The ownership policy is a tool for the county council to exercise targeted, predictable and long-term owner management in Drammen municipality. The ownership policy will contribute to good political management and control as well as give the framework for how the municipality will exercise their ownership. The expectations expressed in the municipality"s ownership policy apply for all companies that the municipality has ownership interest in, regardless of whether it is a municipal company or companies that Drammen municipality owner alone or in partnership. The ownership policy further lays down the framework for the Chief Municipal Executive"s follow-up of the companies. The ownership policy is rolled out regularly and early in the municipal election period.
In it"s ownership policy, the municipality proposed active use of corporate ownership strategies as an important tool. The ownership strategies form the basis for active follow-up of the large values in the different companies. Owner strategies will form the platform for a good management dialogue and give goals and a clear direction of what the owners want with the various companies. Ownership strategies can regulate conditions such as communication with the company, information needs, anticipated return, dividend expectations, strategic direction and core activities, goals, dispute resolutions between owners etc. Ownership strategies are individual and adapted to each company. The aim of the ownership strategies is that they are robust and have validity over time. However there are regular reviews based on, amongst other things, changed framework terms, new needs, and adopted guidelines, etc. All ownership strategies must be anchored and discussed in the municipal executive board by the ownership committee and adopted by the municipal council.
Ownership strategies for companies with several owners must be adopted by the municipal councils in all the owner municipalities, and this must be taken into consideration. In companies where multiple municipalities are owners, this involves cooperation between the municipalities in the review work. The owners will jointly clarify the process and frameworks for the review work. This will be particularly relevant for inter-municipal companies (IKS).
Ownership strategic work will be ongoing and stretch over several years. It has been decided that initially ownership strategic work will be implemented for:
- Dpark AS,
- Drammen Scener AS.
New ownership strategic processes will be clarified through the municipality"s annual action and financial planning work.
Note that Drammen Municipality will join up with assistance for ownership strategic work for the energy companies Vardar AS and Å Energi AS through a separate previous procurement.
The delivery will include evaluations and analysis of, amongst other things:
- Applicable ownership strategies if such is found
- Development strategy
- Core activity
- The company"s organisation
- The company"s capitalisation
- Ownership return and dividend expectation
- Social Responsibility
- Management dialogue
It is assumed that the assignment for each process will end up with:
- a report that gives a good knowledge basis for designing the final ownership strategy
- proposals for ownership strategy for the company in question.
A more detailed progress plan for the work will be clarified with the selected tenderer.
Parallel framework agreements will be entered into with three tenderer, assuming that there are a sufficient number of suitable tender offers. Call-off of resources will be individual assignments for the implementation of a specific owner-strategic process. When awarding assignments, the contracting authority will implement mini competitions based on one or more of the following criteria:
- competence of offered personnel for specific assignments
- delivery capacity/time
- fixed price
