VII.2)Information about modifications

VII.2.1)Description of the modifications

Nature and extent of the modifications (with indication of possible earlier changes to the contract):

Mit der VÄ2 wird die oben genannte Rahmenvereinbarung (im Folgenden: „RV“) sowie die drei Abrufverträge (1. Liefervertrag vom 5.4.2022, 2. Liefervertrag vom 11.5.2023 und 3. Liefervertrag vom 11.5.2023) geändert.

Gegenstand der VÄ2 sind insb.: Anpassung der Zahlungsmeilensteine, Anpassung der Fahrzeugbasispreise, Änderung der Preisgleitung, Änderung der Life-Cycle Costs (LCC), Zahlungsbedingungen, Garantien, Zurverfügungstellung von Büro und Parkplatzflächen, Kostenübernahme der Annahmefahrten sowie Change Requests.

Die VÄ2 erfolgt gemäß § 365 BVergG.

VII.2.2)Reasons for modification

Need for modification brought about by circumstances which a diligent contracting authority/entity could not foresee (Art. 43(1)(c) of Directive 2014/23/EU, Art. 72(1)(c) of Directive 2014/24/EU, Art. 89(1)(c) of Directive 2014/25/EU)

Description of the circumstances which rendered the modification necessary and explanation of the unforeseen nature of these circumstances:

Gegenständlich entstanden insbesondere infolge des Ukraine-Kriegs erhebliche Lieferschwierigkeiten und Kostensteigerungen, die vor allem zum Zeitpunkt der Letztangebotsabgabe nicht vorhersehbar waren und die insb. eine Anpassung der Fahrzeugbasispreise und daraus folgend auch eine Anpassung der Zahlungsmeilensteine, der Life-Cycle Costs (LCC), der Zahlungsbedingungen, Garantien sowie die Zurverfügungstellung von Büro und Parkplatzflächen und die Kostenübernahme der Annahmefahrten seitens des Auftraggebers erforderlich machten. Die Anpassung erfolgte aufgrund von zur Prüfung der Mehrkosten eingeholter Gutachten eines unabhängigen Wirtschaftsprüfers und eines unabhängigen Rechtsanwalts. Der Gesamtcharakter der RV bzw. der abgeschlossenen Lieferverträge ändert sich aufgrund der VÄ2 nicht.
