Framework agreement for legal services
Reference number: 23/5239The procurement will be implemented in accordance with an open tender contest, in accordance with the Public Procurement Act dated 17 June 2016 (PPA) and the Public Procurement Regulations (PPR) FOR 2016-08-12-974, part I and part II, cf. the Public Procurement Regulations § 5-1 (2) letter b.
The aim is to enter into non-exclusive, parallel framework agreements with up to three different tenderers for the procurement of legal services related to the contracting authority"s execution of direct ownership in companies. The contracting authority has its own lawyers that give advice and assist within most legal areas of importance for the contracting authority"s execution of ownership. There is a need for external assistance on occasions where the contracting authority"s own lawyers are lacking the capacity to provide the necessary legal assistance, and/or where expertise in fields of law is not covered internally and/or for more than what is covered internally.
The aim is to enter into non-exclusive, parallel framework agreements with up to three different tenderers for the procurement of legal services related to the contracting authority"s execution of direct ownership in companies. The contracting authority has its own lawyers that give advice and assist within most legal areas of importance for the contracting authority"s execution of ownership. There is a need for external assistance on occasions where the contracting authority"s own lawyers are lacking the capacity to provide the necessary legal assistance, and/or where expertise in fields of law is not covered internally and/or for more than what is covered internally. Tenderers must be able to offer expertise within general Norwegian company law, stock exchange and capital market law, transactions, financing, and general contract and contract law. Tenderers must also have very good competence within other relevant Norwegian business law and general legal areas that affect the contracting authority"s execution of ownership, including climate and environment law, ESG and compliance, tax law, and competition and state support law. The estimated value of the procurement is NOK 5 million - NOK 10 million excluding VAT a year. I.e., an estimated total value of up to NOK 40 million excluding VAT for the maximum contract length. The contracting authority would like to enter into parallel framework agreements with up to 3 tenderers. See Annex 1 of the draft of the framework agreement, (which is Annex B of the tender documentation) for further details on the delivery.
The framework agreement will be valid for two years from the contract date. Option for the contracting authority to extend the framework agreement for a further one year at a time up to twice.

Requirement: Paid taxes and duties.
Documentation:
A certificate, not older than 6 months, which verifies that the tenderer has fulfilled the obligations of payment of taxes, social security contributions and VAT. The certificate can be ordered and obtained from Altinn by using a separate link on skatteetaten.no. Foreign tenderers must provide certificates from equivalent authorities to the Norwegian authorities.
Requirement:
Tenderers must have sufficient ability and experience to carry out the assignments that are awarded under the framework agreement.
Documentation:
• A description of the tenderer"s up to five most relevant assignments in the last three years, together with information (to the degree that it is permitted/possible) on the assignments" values, (for the client), dates of execution, and the names of the client.
• Relevant assignments means transactions, financing assignments, or other major assignments covered by the relevant legal areas, preferably the primary legal areas, see Annex 1 of the framework agreement - (the contracting authority"s description of the legal services). Tenderers are responsible for ensuring that the description is of such a nature that it verifies that the requirement has been met.
Requirement:
Tenderers must have sufficient economic and financial capacity to take on the assignments included in the framework agreement.
Documentation:
• A description of the tenderer"s average annual workforce in the last three years (2021-2023), as well as an estimate of the number of partners that currently work within the relevant legal areas (see Annex 1 of the framework agreement - the contracting authority"s description of the legal services).
