         Deze raamovereenkomst, hierna te noemen Overeenkomst, omvat het op afroep leveren van LED-Retrofitpakketten ten behoeve van het vervangen van verlichting in bewegwijzeringsborden door LED op alle treinstations in Nederland.

         De Overeenkomst heeft een vaste looptijd van 8 jaar. De maximale looptijd komt hiermee op 8 jaar. De vaste looptijd is gebaseerd op de periode die nodig is om de leveringen te betrekken voor inbouwen. De maximale looptijd is gebaseerd op de behoefte de producten nog te kunnen te kunnen verkrijgen.

         De Overeenkomst kent een minimale afname van 9.000 LED Retrofit pakketten. Aan deze opgave kunnen op geen enkele wijze rechten ontleend worden. Het maximum aantal af te nemen systemen bedraagt 14.000 stuks. De maximale waarde van de Overeenkomst bedraagt € 5.000.000

          De Overeenkomst kent een minimale afname van 9.000 LED Retrofit pakketten.

          ProRail zal met de inschrijver die als nummer twee in rang eindigt de Overeenkomst met daarin aanvullend opgenomen een wachtkamerregeling sluiten. De wachtkamerregeling voorziet erin dat ProRail de Overeenkomst met de inschrijver, die eindigt als tweede in rang, binnen een periode van 9 maanden in werking kan laten treden indien de Overeenkomst met de eerste opdrachtnemer beëindigd of vernietigd wordt of is.
