1、Bidding Conditions
Overview:CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as "CSPC") intends to build CSPC Huizhou Phase 3 Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

3、Qualification Requirements For Bidder
Qualifications or Performance:(1)Requirements for Qualifications of the Bidder

A.
If the Bidder is a company registered within the territory of China, it shall possess a legally valid Business License of an enterprise legal person, Tax Registration Certificate, and Organizational Code Certificate, or a unified business license combining these certificates. When submitting the bid, the Bidder shall provide a scanned copy of the original document (with the originals kept available for verification).

If the Bidder is a company registered outside the territory of China, it shall provide a valid certificate of company registration.

If the Bidder is a branch company, it shall possess a legally valid business license (for those registered within China) / certificate of company registration (for those registered outside China) and an authorization letter from the superior legal entity (authorizing the branch to bid and sign contracts). When submitting the bid, the branch shall provide scanned copies of the original documents (with the originals kept available for verification).

The qualifications, eligibility and performance of the branch and its superior legal entity shall be recognized by the Procuring Entity(Company/Purchaser), while the qualifications, eligibility and performance of other branches under the same superior legal entity shall not be recognized. Only one of the branch and its superior legal entity may participate in the bid; if both participate in the bid, all their bids shall be regarded as invalid bids.

(Bid by Agent is not accepted. The bidder shall be the manufacturer of the TOC analyzer or the manufacturer of the TOC analyzer integrated system(including the sales company within the same group as the manufacturer of bid goods) . If the bidder is not the manufacturer of the TOC analyzer itself, it must obtain a valid authorization letter from the manufacturer of the TOC analyzer it is bidding for.. If the Bidder is a company in charge of sales within the manufacturer"s group, a statement should be provided indicating that the Bidder and the manufacturer belong to the same group and are responsible for the sale of the bid Goods.)


(2) Requirements of Qualification

The TOC analyzer should meet the explosion-proof requirements for explosive hazardous areas as stipulated in the inquiry document, with an explosion-proof grade of no less than IIC T4, and provide the explosion-proof certificate of the analyzer itself.
(3)Requirement for Bidder"s Past Performance:


From January 1, 2015 to the bid submission deadline (based on the contract signing date), the bid documents submitted by the bidders should simultaneously meet the following performance requirements (it is acceptable for both of the following two requirements to be reflected in one contract) :
1) The manufacturer of the TOC analyzer being bid for should have at least 2 supply performances of TOC analyzers, and the supply quantity per contract should be no less than 5 units;
2) The manufacturer of the TOC analyzer system integration should have at least 1 supply performance of TOC analyzer system integration.

The bidder shall submit the Performance Form in the specified format and provide the relevant performance certification documents. The performance certification documents include: 1) Sales contracts; 2) Goods Arrival Acceptance signed or stamped by the client (i.e. Full Settlement Invoice , or, Arrival Acceptance Form, or, Commissioning Acceptance Report, or other valid certifications that can prove the goods under the contract have passed the arrival acceptance).

The performance of the TOC analyzer submitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of the TOC analyzer submitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of the TOC analyzer submitted in this bid and the manufacturer of the TOC analyzer meeting the above performance requirements belong to the same group.


The performance certification documents submitted by the bidder must include at least the following contents: the contract signing date; the contract signature page (China domestic trade contracts shall be stamped by the buyer and the seller, while international trade contracts shall be signed or stamped by the buyer and the seller); name of manufacturer; the name of the goods; the quantity of the instrument system integration supply;and the goods arrival acceptance signed or stamped by the client.


If the contract is an annual framework agreement, in addition to the agreement itself, the corresponding Purchase Order(s) (PO)(under which the goods were delivered) shall also be provided, and the purchase order content or PO numbering shall be associated with the annual framework agreement. Under the same annual framework agreement, one or more purchase orders and their arrival acceptance certificate(s) corresponding to the orders shall be deemed as one valid performance.

Failure to submit the past performance certification documents, or inability to confirm that the above performance requirements are met through the performance certification documents so provided, shall be deemed as invalid performance.
