Description: Procurement service to provide technical assistance to the Ukrainian Government, aiming to support Ukraine’s alignment with the EU company law and corporate governance acquis. This support focuses on strengthening the legal and institutional framework for companies, capital markets, and corporate transparency. The planned specific objectives are: - Specific objective 1 – Company Law Alignment: Review and enhance the Ukrainian company law framework in line with the EU acquis, in particular on company formation, capital maintenance, mergers and divisions (domestic and cross-border), nullity, and European company forms. - Specific objective 2 – Corporate Governance and Shareholder rights: Strengthen the corporate governance legislative framework, including shareholder rights and takeover bids, ensuring robust minority protection and supervisory powers for the National Securities and Stock Market Commission (NSSMC). - Specific objective 3 – Transparency and Digitalisation: Enhance company reporting and transparency requirements, including the development of digital tools, interoperability with the EU Business Registers Interconnection System (BRIS), and preparation for the Single Access Point (SAP), ensuring effective and secure access to corporate and financial information; further standardisation of financial reporting in electronic form; gradual introduction of sustainability reporting. - Specific Objective 4 – Accounting, Audit, Assurance and Financial Reporting: - Ensuring ongoing legislative compliance, education transformation, capacity building; implementation of assurance for sustainability reporting
