Assignment Title: Transaction Advisory Services for the Procurement of 370 MW Solar PV Projects under the ZREP-TA Project

1. Background

The Government of Zimbabwe (GoZ) has received financing from the World Bank towards the cost of implementing the Zimbabwe Renewable Energy Procurement Technical Assistance (ZREP-TA) Project. The ZREP TA Project is being implemented by the Zimbabwe Electricity Transmission and Distribution Company (ZETDC) under the Ministry of Energy and Power Development (MoEPD).

The consulting services (“the Services”) include supporting the GoZ to transition towards a sustainable and inclusive energy system through competitive procurement of renewable energy from Independent Power Producers (IPPs).

As part of this effort, the GoZ, through ZETDC, intends to engage a qualified Consulting Firm or firms associated through a Joint Venture of Sub Consultancy arrangement to assist the GoZ in developing and implementing a competitive Renewable Energy Procurement Framework.

2. Objective of the Assignment

The objective of this assignment is to provide comprehensive transaction advisory services to support the GoZ in the design and implementation of a transparent, bankable, and competitive procurement process for approximately 370 MW of Solar PV projects to be tendered across five pre-identified substations. The consultant will undertake the following key activities:

  • Development of the Procurement Framework, tender documentation, and contractual agreements (including Power Purchase Agreements (PPAs), Government Project Support Agreements (GPSAs), and Implementation Agreements).
  • Design of the Government Support Mechanisms and risk allocation structures to enhance project bankability.
  • Assessment of grid integration requirements and coordination with ZETDC system planning teams to ensure the technical and commercial feasibility of the proposed Solar PV projects.
  • Assistance in tender launch, prequalification, bid evaluation, negotiations, and award of selected IPPs.
  • Support in financial close, including coordination with financiers, GoZ agencies, and IPPs.
  • Capacity building and knowledge transfer to GoZ counterparts (MoEPD, ZETDC, ZERA, REF, and ZESA) through structured training and workshops.

3. Duration of the assignment

The assignment will be undertaken within a period of 46 weeks from the date of signing the contract.

4. Shortlisting Criteria

The ZETDC now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the required Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services (brief company profile (ownership, organizational structure, core areas of expertise). The shortlisting criteria include:

  • Minimum ten (10) years of relevant experience in providing transaction advisory services, specializing in energy sector procurement.
  • A legally registered firm with at least ten (10) years of experience in energy-sector transaction advisory services.
  • Proven track record of at least three (3) consultancy assignment in structuring, negotiating, and managing procurement processes for large-scale solar IPPs, completed within the past ten (10) years and each with a minimum installed capacity of 100 MW or larger, or forming part of a multi-site procurement program of comparable aggregate capacity.
  • Demonstrated experience advising governments, utilities, private sector investors, and development finance institutions. Experience working on transactions financed or supported by International Financial Institutions (e.g., the World Bank Group, IFC, AfDB) will be considered a strong advantage.
  • Demonstrated expertise in public-private partnerships (PPPs), competitive bidding, legal and regulatory advisory, and IPP financing.
  • Strong understanding of global best practices in renewable energy procurement and financing structures.
  • Capable of providing end-to-end transactional advisory services, including:
  • Feasibility studies
  • Legal and regulatory due diligence
  • Financial structuring and risk analysis
  • Bid preparation and evaluation
  • Contract negotiation and finalization

Project references submitted should include the following: project title, client, contract value, description of services provided, project location, dates of implementation, and confirmation that the assignment was successfully completed and accepted by the client.

Summary of qualifications and experience of firms principals/directors should be provided, along with high-level overview of the firm’s proposed team structure for this assignment (without submitting individual CVs at this stage). Detailed CVs for key experts will only be requested from firms shortlisted and invited to submit full proposals.

Consulting firms should disclose any actual or potential conflicts of interest in accordance with paragraphs 3.13 to 3.16 of the World Bank Procurement Regulations (Sixth Edition, February 2025).

Given the multidisciplinary nature of the assignment (legal, financial, technical, procurement, risk allocation), firms are strongly encouraged to form joint ventures or engage sub-consultants to ensure full coverage of required expertise.

The Consultant will be selected in accordance with the Quality and Cost Based Selection (QCBS) method set out in the above indicated Procurement Regulations.

5. Submission of Expressions of Interest

Expressions of interest (EOI), accompanied by a cover letter, must be delivered in a written form to the address below (in person, by mail, or by e-mail) by 16:30 CAT on May 08, 2026.
