Project: Electricity Sector Transformation and Resilient Transmission (ESTART)
Financial advisory services for the development of transmission infrastructure for the integration of renewable energy sources

1. The Government of Uzbekistan (GoU) has initiated ambitious energy sector reforms that envisage introducing competitive market principles in the sector management and operations. GoU has prepared and approved an Electricity Sector Reform Implementation Plan, which outlines the priority power sector reform actions, their sequence and timeline, required resources for the effective corporatization and commercialization of the newly unbundled electricity companies, and key areas of electricity sector reform for IFI support.
2. The objective of this ToR is to provide financial and commercial advisory services to National Electric Grids of Uzbekistan within the project "Construction of 500 kV Karakul-Nurabad power transmission lines" on the basis of EPC+F conditions, which serves to develop electricity transmission infrastructure and connect renewable energy sources to a single energy network. The Services include: (i) Review of the draft EPC Agreement, Financing Agreement and other project related key agreements (“Project Documents”) from commercial and financial perspective, (ii) Financial Model Review, (iii) Support in negotiations with the Contractor and financing parties.
3. It is envisaged that the assignment will take 3 months to complete with an expected start date in March, 2024. The detailed Terms of Reference (TOR) for the assignment can be downloaded on the below link:

4. National Electric Grid of Uzbekistan (NEGU) now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The best-qualified firms to carry out the services will be selected in accordance with the Consultant’s Qualification Selection (CQS) method set out in the Procurement Regulations. Following this invitation for Expression of Interest, a shortlist of qualified firms will be formally invited to submit proposals.
Shortlisting Criteria
1. General Criteria of the Consultant:
a) The Consultant team shall be comprised of 3 (three) members with relevant experience in power sector projects of a minimum of 5 (five) years.
b) The Consultant should have international finance experts (Experts) with expertise in private investments, public-private partnerships, and project finance, and should have an office in Tashkent. The Consultant should have experience in developing countries and in the region, preferably in Uzbekistan and/or the Central Asia Region in the last 5 (five) years. The Consultant should have experience in advising public sector entities in Uzbekistan and should have experience of achieving financial close for power projects with international lenders.
2. Minimum Criteria for Experts:
Reflecting the Scope of Work, the Experts should have:
a) A master’s degree in business, management, economics, or finance.
b) At least 5 years of professional relevant experience in private investments and PPP (Public-Private Partnership) preferably in the region.
c) At least 5 years of professional relevant experience in project finance with public sector institutions, strategic investors, investment banks or international financial institutions with a focus on power sector projects.
d) Solid experience in supporting the development and implementation of infrastructure programs in Uzbekistan.
e) Strong working, understanding of the private investments and PPP enabling environment including legal, regulatory, and institutional frameworks in Uzbekistan.
f) Proven ability to undertake research and analysis on difficult but well-defined tasks, collect and organize required data and information, apply appropriate computer skills in organizing and analyzing the data; and prepare notes, papers, and sections of reports.
g) Good analytical thinking with the ability to comprehend causal links, make pros and cons analyses and analyze factors to reach a decision.
h) Ability to facilitate work planning, delivery, and quality review.
i) Ability to work collaboratively with teams of both Uzbek Government counterparts and any other consultants supporting the NEGU as a constructive member.
j) Excellent written and verbal communication skills in English.
5. The attention of interested Consultants is drawn to Section III, paragraphs, 3.14, 3.16, and 3.17 of the World Bank’s “Procurement Regulations for IPF Borrowers”

2020 (“Procurement Regulations”), setting forth the World Bank’s policy on conflict of interest. Consultants may associate with other firms to enhance their qualifications but should
indicate clearly whether the association is in the form of a joint venture and/or a sub-consultancy. In the case of a joint venture, all the partners in the joint venture shall be jointly and
severally liable for the entire contract, if selected.
