1. Private Joint Stock Company “Ukrhydroenergo” (PJSC Ukrhydroenergo or UHE) has received financing from the World Bank toward the cost of Ukraine – Improving Power System Resilience for European Power Grid Integration (Installation of Hybrid Systems for Electricity Production in PJSC “Ukrhydroenergo”) Project, and intends to apply part of the proceeds toward payments under the contract for Design, Supply and Installation of Battery Energy Storage Systems (BESS) with Energy Management Systems (EMS) and Ancillary Equipment at Kyiv HPP/PSP, Kaniv, Kremenchuk and Seredniodniprovska Hydropower Plants, including related services (training of UHE staff). The BESS is intended for provision of ancillary services to the national grid. For this contract, UHE intends to process the payments using the Direct Payment disbursement method, as defined in the World Bank’s Disbursement Guidelines for Investment Project Financing.

2. PJSC “Ukrhydroenergo” now invites Bids from eligible Bidders for design, manufacturing, supply and installation of the Battery Energy Storage Systems (BESS) with Energy Management Systems (EMS) and Ancillary Equipment, including testing, commissioning and training of UHE staff in operation and maintenance of installed and commissioned systems at four separate locations in Ukraine: Kyiv HPP/PSP, Kaniv, Kremenchuk and Seredniodniprovska Hydropower Plants. The total combined power rating of all four locations shall be 197MW intended for 2-hour cycle. The completion period for the whole of the works shall be from 420 to 510 calendar days from the Contract effectiveness date. No bonus will be given for earlier completion and bids offering completion beyond 510 days will be rejected.

3. The prospective Bidders shall meet the following minimum Qualification requirement:

(a) General Experience: Experience in activities related to the design, supply, and installation of equipment for energy infrastructure facilities, including generating facilities, battery energy storage systems (BESS) and MV and HV grids under contracts in the role of contractor, subcontractor, or management contractor since at least January 2021

(b) Financial Capability: The Bidder shall submit audited balance sheets or, if not required by the law of the Bidder’s Country, other financial statements acceptable to UHE, for the last five (5) fiscal years to demonstrate the current soundness of the Bidders financial position and its prospective long-term profitability.

(c) Average Annual Turnover: The Bidder shall demonstrate a minimum average annual turnover of one US$100 million calculated as total certified payments received for contracts in progress or completed, within the last three (3) years.

(d) Specific Experience:

(i) The Bidder shall demonstrate that it has participated as contractor, joint venture member, management contractor, or subcontractor, in at least two (2) contracts within the last five (5) years, each with a power and energy capacity of at least 60 MW and at least 60 MWh respectively that have been successfully and fully completed, and that are similar to the proposed Plant and Installation Services. The similarity of the contracts shall be based on the sector (Design and Building Energy Storage), including as part of hybrid project with Renewable energy, and experience related to design could have been met through a specialized subcontractor.

(ii) For the contracts above and/or any other contracts substantially completed and under implementation as prime contractor, joint venture member, or Subcontractor between 1st January 2021 and Bid submission deadline, experience in the following aspects:

A) At least Two (2) contracts that have been successfully and fully completed, performing/ participating in a IEC-62443 Security Risk Assessment, implementing Cyber Security concepts on IEC-62443-3-3, SL-2/3 level.

B) Design and construction and commissioning of at least 2 (two) HV substations (at least class 110/150 kV).

C) Design and construction of at least one (1) BESS project with a total installed capacity of at least 20 MW that has been successfully and fully completed, with confirmed integration of BESS into power systems operating in accordance with ENTSO-E requirements.

D) Design (with proof of positive state expertise) of CC3 consequences class projects in the field of industry or energy (production facilities; generation, distribution, transmission): at least 2 (two).

E) Design according to norms of Order No. 45 of the Ministry of Regional Development and Construction dated November 16, 2011, in the field of industry or energy (production facilities; generation, distribution, transmission): at least 2 (two).

F) Design for projects involving connection to Transmission System Operator (TSO) and/or Distribution System Operator networks: at least 2 (two).

The requirements under item d (ii) may also be met through proposed specialized subcontractor(s).

4. Bidding will be conducted through international competitive procurement using a Request for Bids (RFB) as specified in the World Bank’s “Procurement Regulations for IPF Borrowers” (November, 2020 edition) (“Procurement Regulations”), and is open to all eligible Bidders as defined in the Procurement Regulations.

The procurement process shall be conducted via the national electronic procurement system “Prozorro” available at https://prozorro.gov.ua/, including authorized electronic procurement marketplaces, through which UHE and the bidders shall work in the system. The RFB documents, amendments and clarifications shall be published on Prozorro website and all marketplaces with free access at the following link: https://prozorro.gov.ua/uk/tender/UA-2026-03-11-014141-a.

In order to submit the Bid and/or request clarifications, the Bidder shall register at one of the authorized electronic marketplaces of Bidder’s choice in accordance with the terms and conditions of selected marketplace.

5. Bids will be evaluated in accordance with the evaluation process set out in the Bidding Documents. The following weightings shall apply for Rated Criteria (including technical and non-price factors): 50%; and thus, for Bid cost: 50%.

6. Interested eligible Bidders may obtain further information from the Bidding Documents published at the link provided above. Requests for clarification should be submitted by the Bidder no later than 14 days prior to the bid submission deadline indicated in the e-procurement system. Potential bidders are invited to attend a Pre-Bid Meetting organized by UHE in the format of a video conference. Detailed information about the date, time and registration is provided in the Bidding Documents.

7. Bids must be submitted by uploading the complete Bid through the electronic-procurement system before the bids submission deadline which is 16:00 p.m. (Kyiv time) on May 11, 2026. After the deadline the bidders will not be able to submit the bids, and this will be closed by the system automatically.

8. All Bids must be accompanied by a Bid Security in the amount US$ 1 million or equivalent amount in any freely convertible or local currency at the exchange rate set by the National Bank of Ukraine (www.bank.gov.ua) on the date 7 (seven) days prior to the deadline for submission of bids.

9. Attention is drawn to the Procurement Regulations requiring UHE to disclose information on the successful bidder’s beneficial ownership, as part of the Contract Award Notice, using the Beneficial Ownership Disclosure Form as included in the Bidding Documents.
