SPECIFIC PROCUREMENT NOTICE

1. Ukraine has received financing from:

the International Bank for Reconstruction and Development (hereinafter – the "Bank") to cover the cost of the Health Enhancement and Lifesaving (HEAL) Ukraine Project financed under the Loan Agreement between Ukraine and the International Bank for Reconstruction and Development (hereinafter – the "Bank") dated December 22, 2022 No. 9468-UA (hereinafter – the "Loan Agreement") and

the Council of Europe Development Bank (hereinafter – the "CEB") under the Framework Loan Agreement for the Implementation of the Health Enhancement and Lifesaving (HEAL) Ukraine Project dated June 11, 2024 No. LD 2167

and intends to use part of the funds for payments under the contract that is the subject of this procurement.

2. The Ministry of Health of Ukraine (hereinafter – the “Employer”) now invites Quotations from eligible Contractors for:

New construction of the medical and rehabilitation building of Communal Enterprise "Volyn Regional Territorial Medical Association for Protection of Motherhood and Childhood" (25 Vyshneva str., Zhabka, Lutsk district, Volyn region, Ukraine)

The procurement is made within one lot and provides for the conclusion of one contract based on the results of the tender process.

Works shall be made withing period of 12 months from the date of the Contract signing.

The prospective Contractors shall meet the following Qualification Criteria:

Historical Contract Non-Performance:

• Non-performance of a contract did not occur as a result of contractor default since 1st January 2020;
• Not under suspension based on execution of a Quotation Securing Declaration;
• All pending litigation, in aggregate, must not exceed thirty percent (30%) of the Contractor"s net worth and shall be considered as resolved against the Contractor;
• No consistent history of court/arbitral award decisions against the Contractor since 1st January 2020;
• Declare any civil work contracts that have been suspended or terminated and/or performance security called by an employer for reasons of breach of environmental or social (including Sexual Exploitation and Abuse)) contractual obligations in the past five years since 1st January 2020;
• At the time of Contract Award, not subject to disqualification by the Bank for non-compliance with SEA/ SH obligations;
• If the Contractor had been subject to disqualification by the Bank for non-compliance with SEA/ SH obligations, the Contractor shall either (i) provide evidence of an arbitral award on the disqualification made in its favour; or (ii) demonstrate that it has adequate capacity and commitment to comply with SEA/SH prevention and response obligations; or (iii) provide evidence that it has already demonstrated such capacity and commitment on another Bank financed works contract.

Financial Capabilities:

(i) The Contractor shall demonstrate that it has access to, or has available, liquid assets, unencumbered real assets, lines of credit, and other financial means (independent of any contractual advance payment) sufficient to meet the construction cash flow requirements for three (3) months under this contract estimated as UAH 183 million, or an equivalent amount in foreign currency at the exchange rate of the National Bank of Ukraine (www.bank.gov.ua) 7 days prior to the deadline for submission of the Quotation.

(ii) The Contractor s shall also demonstrate, to the satisfaction of the Employer, that it has adequate sources of finance to meet the cash flow requirements on works currently in progress and for future contract commitments.

(iii) Financial information shall be provided for the last five (5) fiscal years: 2020 to 2024 inclusive.

The submitted annual financial statements for the required period should demonstrate the stability of the Participant’s financial position, showing long-term profitability. Permanent losses or risk of insolvency reflected in the financial statements, or declared bankruptcy proceedings may be grounds for the Participant’s disqualification.

(iv) The Employer may reject the Quotation if the amount of confirmed obligations that will be performed in parallel with the Contract exceeds the Contractor"s annual turnover for the previous (2024) year by 1.5 (one point five-tenths) times.

The Contractor’s minimum average annual turnover for completed construction work should be UAH 610 million, calculated as the total amount of confirmed payments received under contracts for construction work in progress and/or completed during the last 5 (five) years, starting from January 1, 2020 to December 31, 2024, divided by 5 (five) years, or an equivalent amount in foreign currency at the exchange rate of the National Bank of Ukraine (www.bank.gov.ua) determined at the end of each reporting period.

Experience:

- Experience under construction contracts in the role of prime contractor, JV member, sub-contractor, or management contractor for at least the last 5 (five) years, starting 1st January 2020.

- A minimum number of similar contracts specified below that have been satisfactorily and substantially completed as a prime contractor, joint venture member, management contractor or sub-contractor18 between 1st January 2020 and Quotation submission deadline:

(i) at least one (1) contract with the cost of work performed by the Contractor at least equivalent to the amount of UAH 610 million, or an equivalent amount in foreign currency at the exchange rate of the National Bank of Ukraine (www.bank.gov.ua) determined as of the date of conclusion of Contract. Or

(ii) at least two (2) contracts with the cost of work performed by the Contractor at least equivalent to the amount of UAH 330 million each, or an equivalent amount in foreign currency at the exchange rate of the National Bank of Ukraine (www.bank.gov.ua) determined as of the date of conclusion of Contract. Or

(ii) at least three (3) contracts with the cost of work performed by the Contractor at least equivalent to the amount of UAH 243 million each, or an equivalent amount in foreign currency at the exchange rate of the National Bank of Ukraine (www.bank.gov.ua) determined as of the date of conclusion of Contract.

Environmental, social, health and safety issues

The Contractor shall confirm the existence of a valid ISO certificate or internationally recognized equivalent (equivalence must be demonstrated by the Contractor), such as the ISO 14001:2015 Environmental Management System Certification; and ISO 45001:2018, IDT Occupational Health and Safety Management System Certification.

In the absence of the above certificates, the existence of internal policies and procedures for the management of ESHS.

Permits and licenses

The Contractor shall submit, together with the Quotation, all necessary valid licenses/permits and certificates in accordance with the legislation of Ukraine, available at the time of commencement of work.

• licenses and/or permits for the following activities:
• copies of permits and/or licenses, including a construction license, required by the legislation of Ukraine to carry out economic activities and perform high-risk works stipulated by the Contract. The license(s) shall be issued either in the name of the Contractor or in the name of one of the partners in case of creation of the JV. The procedures for obtaining the necessary licenses and/or permits under martial law are provided for by the Resolution of the Cabinet of Ministers of Ukraine dated March 18, 2022 No. 314 (https://zakon.rada.gov.ua/laws/show/314-2022-п#Text).

In the absence of such permits and licenses at the time of submission of the Quotation, the Contractor shall provide the original letter of guarantee signed by the Contractor stating that the above-mentioned permits and licenses will be obtained before the start of construction work provided for in the Contract.

Personnel:

The Contractor shall demonstrate that it will have appropriately qualified (and sufficient) key personnel:

* Must have a valid qualification certificate in the field of architectural design (creation of architectural objects), registered in the Unified State Electronic System in the Construction Sector (USESCS)

** Must have a valid qualification certificate for a design engineer of at least Category 1, which allows for the performance of engineering and construction design work related to mechanical resistance and stability for a consequence class (responsibility) of no less than CC2 (moderate consequences), and is registered in the USESCS.

Equipment:

The Participant must demonstrate that it has access to the key equipment listed hereinafter:

Evaluation will be conducted based on comparing price quotations received from Contractors.

Detailed information is described in the Request for Quotations (the Tender Documents).

This Notice is for informational purposes only, intended to advertise the tender, and does not constitute a part of the Tender Documents. Prospective contractors must be governed solely by the provisions of the issued Request for Quotations.

3. The tender will be conducted through international competitive procurement using a Request for Quotations (RFQ) as specified in the World Bank’s “Procurement Regulations for IPF Borrowers” (Fourth Edition, November 2020) (“Procurement Regulations”), and is open to all eligible Contractors as defined in the Procurement Regulations.

The Employer shall use the following electronic-procurement system to manage this Tender process:

“Electronic procurement system” or “e-procurement system” means national electronic procurement system “Prozorro” available at https://prozorro.gov.ua/, including authorized electronic procurement marketplaces.

In order to submit the Quotations and/or request clarifications, the Participants shall register at one of the authorized electronic marketplaces of Participant’s choice in accordance with terms and conditions of selected marketplace.

4. The full set of Tender documents in English and Ukrainian, including addenda and clarifications thereof, if any, is published by the Employer at the website of electronic procurement system and will be available for free for downloading at the following link:

5. Quotations must be submitted by uploading the complete tender documents through the electronic-procurement system before the quotations submission deadline which is 17:00 (Kyiv time) on November 14, 2025. After the deadline the participants will not be able to submit the quotations and this option will be closed by the system automatically.

6. All Quotations must be accompanied by a Securing Declaration.

7. Attention is drawn to the Procurement Regulations requiring the Borrower to disclose information on the successful contractor’s beneficial ownership, as part of the Notice of Acceptance, using the Beneficial Ownership Disclosure Form as included in the RfQ.
