REQUEST FOR EXPRESSIONS OF INTEREST (CONSULTANT SERVICES)

BACKGROUND

The International Bank for Reconstruction and Development (hereinafter referred to as the IBRD, the Bank) will assist Ukraine in financing the Project “Preparation of Sustainable Projects to Promote the Recovery of Ukraine (PREPARE Ukraine)” (hereinafter referred to as the Project), which is aimed at supporting Ukraine in preparing for the implementation of public investment projects (hereinafter - “Investments”) identified by the Government of Ukraine as priorities within the Single Project Pipeline (SPP), and at the same time building the capacity of the Government of Ukraine to ensure effective management of public investments.

The Project will be implemented under the general supervision of the Ministry Economy of Ukraine (hereinafter – MoE) by the Project Implementing Entity - State Organization “Agency on support Public-Private Partnership” (hereinafter - PPP Agency). PPP Agency will create a Project Implementation Unit (hereinafter – PIU) for day-to-day management and coordination of the Project and provision of assistance to the Project in disbursement issues, financial management, reporting and other Project related activities. PIU shall be responsible for general coordination of activities and reporting under the Project [through the MoE].

The need for the PPP Agency to engage consultants by purchasing their services is justified by the need for effective implementation of Project activities, assisting the staff of the PPP Agency in day to day Project operations and the decision-making process.

In addition to the Grant Agreement and Project Operations Manual, internally, the Project shall be regulated by the Decree of the Cabinet of Ministers of Ukraine dated 27.01.2016 № 70 “On the procedure for the preparation, implementation, monitoring and completion of the implementation of economic and social development projects of Ukraine supported by international financial organizations”, other legal acts of the Cabinet of Ministers of Ukraine and Orders of MoE.

OBJECTIVE

Under this support framework, the PPP Agency seeks the services of a Legal Specialist to support PPP Agency in ensuring the Project’s implementation to comply with the requirements of current Ukrainian legislation, legal screening (checking compliance with legislation) and preparing Investments in compliance with applicable legislation.

SCOPE OF SERVICES

Legal Specialist will perform the following tasks:

• To provide advisory assistance to PPP Agency regarding the development of regulatory documents for the implemention of the Project;
• Support the PPP Agency in the analysis and comments on any potential legal or regulatory issues that may present impediments to the selected Investments. If necessary, prepare recommendations on amendments to the relevant legislation;
• Legal support the PPP Agency and its consultants in collecting of data required to analyze potential proposed Invetsments, as well as any other data or information required to carry out the preparation and structuring of Investments;
• Assist in legal review of the documentation (including but not limited to ownership documents, local and country regulative framework documents, etc) related to potential Investments;
• Support the PPP Agency in the preliminary assessment, pre-Feasibility Studies of potential Investments in terms of legal feasibility (legal risks, specific legal-related issues etc.);
• Support the PPP Agency in conducting a detailed legal analysis of Investmnets;
• Support the PPP Agency in legal review of the envisioned legal structure for selected Investments;
• Assisting the PPP Agency with the preparation of Feasibility Studies (in terms of detailed legal analysis);
• To interact with government agencies with respect to legal issues related to the Project, preliminary assessment, pre-Feasibility Studies, and other activities related to the identification and preparation of Investments;
• Work with the MoE, PPP Agency, donor organisations and other relevant stakeholders for the development of standardized contractual documents (with the Project-financed consultants (lump-sum and time based) and providers of nonconsultancy services as well as contractual documents with suppliers and contractors under PIPs projects) and standardized Bidding Documents for selection of Project-financed consultants, nonconsultancy services and Bidding Documents for selection of suppliers, contractors, consultants under packages for the Invetsments;
• To carry out generalization and analysis of proposals for members of Ukrainian parliament, central and local executive authorities, and local self-government, citizens, and public organizations regarding the implementation of the Project and, if necessary, drafting letters, answers, explanations, etc;
• To participate in the preparation and the clearance of the contracts (consultancy lump-sump and time-based types, individual consultancy, non-consulting services, , goods supply, etc.) for Projects, selected Investments in accordance with the requirements of current legislation and relevant regulatory acts;
• To provide legal assistance in contract management (consultancy lump-sump and time-based types, individual consultancy, non-consulting services, goods supply, etc.), excluding any legal representation in litigation proceedings or other dispute resolution mechanisms;
• To accompany the inspections conducted by the regulatory authorities, the law enforcement procedural actions, and to review the correspondence with such authorities as a result of inspections when applicable, excluding any legal representation that may be required to file appeals against procedural actions;
• To carry out activities related to protection and provision of other types of legal assistance, in particular, provision of legal information, consultations and clarifications on legal issues, providing legal support to project activities, and other legal documents within the Project, drafting legal documents aimed at ensuring the realisation of the rights, freedoms and legitimate interests of the MoE and PPP Agency;
• To participate in the PPP Agency working / expert groups, seminars, and briefings on the implementation of the Project, as necessary;
• To participate in the preparation of information at the request of the central executive authorities, the World Bank, the Project Coordinator, the PIU Coordinator, regulatory bodies, auditors and other interested parties regarding the status of the Projects implementation;
• To provide advisory assistance to Selection commission when procuring consultants, goods, works and non-consulting services under the Project, specialists of the PPP Agency regarding the application of current legal acts on the Projects implementation and other legal issues that arise in the course of the Projects implementation
• Perform other procurement-related tasks at the national and regional level, as instructed by the Project Coordinator / Head of PIU;
• Contribution to reporting to the IBRD and MoE in line with the requirements of the Grant Agreement and the Project Operations Manual.
• Consultant will not work on any dispute resolution, litigation, arbitration, or general legal representation (as WB financing cannot be used for such purposes).

REPORTING

The Legal Specialist will report to the Project Manager, Director of the PPP Agency and Project Coordinator

REQUIRED EDUCATION AND QUALIFICATIONS

• University degree in law;
• Have a minimum of 3 (three) years of experience in structuring investment projects transactions or providing legal advice on private investments in Ukraine;
• Have in-depth knowledge of current laws and regulations as well as the political and administrative environment related to investment projects in Ukraine;
• Have a good understanding of economic, regulatory, and institutional frameworks governing the implementation of investment projects in Ukraine;
• Be fluent in Ukrainian and English, both written and spoken, and the ability to convey complex issues to various audiences;
• Have experience working with Government institutions, state authorities, and local self-government bodies;
• Advanced level of PC skills, knowledge and practical skills of using standard MS packages (MS Word, Excel, Power Point), email and databases;
• Have a good understanding of economic, regulatory, and institutional frameworks governing the implementation of PIM Framework in Ukraine is a strong preference;
• Training and having international level certificates in PPP – AMPG Certified PPP Professional (CP3P) (Foundation, Preparation, Execution) and Infrastructure Business Case (Foundation and Practicioner) is a strong preference, but not mandatory.

PLACE, DURATION AND REMUNERATION

The services shall be provided in the city of Kyiv from the start of the implementation period for 1 calendar year (Approximately from 01 July 2025). The services will be provided on a full-time basis with 3 months probation period and option to extend subject to the Consultant’s appropriate performance of the services. The Consultant’s services shall be paid on the monthly basis according to the rate approved at the moment of executing the full-time contract.
