REQUEST FOR EXPRESSION OF INTEREST

Assignment Title: Individual International Consultancy Services to Provision Legal Advisor

The Government of Mozambique (GoM) hereinafter referred to as “the Borrower” have received Advance funds from International Development Association (IDA) towards the costs of the Mphanda Nkuwa Hydroelectric Project, Preparation Phase. The funds have been channeled through the Mphanda Nkuwa Hydroelectric Project Office (GMNK) as the Project Implementation Agency, and GMNK intends to apply part of the proceeds for Consulting Services to providing Legal Advisory to the Mpanda NKuwa Hydroelectric Project Office.

The GMNK now invites eligible Individual International Consultant (“Consultants”) to express their interest in providing the Services. Interested Individual International Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The shortlisting criteria are: CVs indicating appropriate qualification, experience and skills in providing legal advisory services, description of similar assignments previously carried out, experience in similar conditions in SADC and other regions shall be attached as supporting documents for the Expression of Interest.

Key Responsibilities

The GMNK, through financial assistance from its lenders, intends to hire an Individual International Legal Consultant (Individual Consultant) to provide legal consultancy services. The legal support services thereto shall be rendered in the following areas, but not limited to:

• Project Agreements for Mphanda Nkuwa Hydroelectric Generation project -Advise and support GMNK and GoM to develop all relevant agreements, in a form acceptable to the parties and potential lenders. The Individual International Legal Consultant shall be responsible for originating, structuring, and guiding the project agreements to the execution stage, providing legal support until project(s) financial close;

• Financing related support for MNK Generation project - Support in relation to the financing of the MNK generation project including any government review of financing agreements, in a form acceptable to the parties and the project’s lenders;

• Procurement support for MNTP - Support in relation to the procurement of the MNTP project. The government is in process to evaluate the PPP viability of the MNTP project; and

• Project Agreements for MNTP - Support in relation to all relevant agreements, in a form acceptable to the parties and potential lenders. The international legal advisor shall be responsible to take the project agreements to the execution stage and until financial close and assist the governmental entities in completion of Precedent Conditions (if any).

The assignment is for an integral time of 24 months, renewables subject to successful performance of the first contract.

The attention of interest is drawn to Section III, paragraphs 3.14, 3.16 and 3.17 of the World Bank`s “Procurement Regulations for IPF Borrowers” - September 2023 (“Procurement Regulations”), setting for the World Bank`s policy on conflict of interest.

The Consultant will be selected in accordance with ICS – Individual Consultant Selection method set out in the Procurement Regulations.
