Assignment Title: Hiring an individual legal consultant to draft legislative chapter in enterprise development law 152

Micro, Small and Medium Enterprises Development Agency (MSMEDA) has received financing from the World Bank toward the cost of the project of "Catalyzing Entrepreneurship for job creation", and intends to apply part of the proceeds for hiring an individual legal consultant to draft legislative chapter in enterprise development law 152
The consulting services (“the Services”) include hiring an individual legal consultant to draft legislative chapter in enterprise development law 152 in order to create an enabling legal and regulatory ecosystem that effectively supports the growth and development of the Egyptian start up ecosystem, addressing their unique challenges while promoting innovation, job creation and economic growth and provide on regulatory frameworks, incentives and dispute resolution mechanisms
The duration of the services will be 2 months from signing the legal agreement by both parties, renewable after satisfaction.
The assignment is expected to start on the May 1st , 2025.
The detailed Terms of Reference (TOR) for the assignment are attached to this request for expressions of interest.
Evaluation criteria:
Qualifications :
- Advanced Legal Studies ( Ph.D) – Preferably in corporate law, technology law, business law, or policy development.
Experiences:
-Bidding will be conducted through Individual consultant procedures as specified in the World Bank’s “Procurement Regulations for IPF Borrowers” of September 2023
-In addition, please refer to section III paragraphs 3.14, 3.15, 3.16 and 3.17 setting forth the World Bank’s procurement regulations on conflict of interest related to this assignment as follows:
3.14 The Bank requires that firms or individuals involved in Bank IPF procurement shall not have a conflict of interest.
3.15 A firm shall be considered to have a conflict of interest if the firm:
a. is providing Goods, Works, or Non-consulting Services resulting from, or directly related to, Consulting Services that it provided for the preparation or implementation of a project, or where such services were provided by an affiliate that directly or indirectly controls, is controlled by, or is under common control with that firm. This provision does not apply to the various firms (Consultants, contractors, or suppliers), which together are performing the contractor’s obligations under a turnkey or design and built contract;
b. including its personnel, has a close business or family relationship with a professional staff of the Borrower, or of the project implementing agency, or of a recipient of a part of the Bank’s financing, or any other party representing or acting on behalf of the Borrower who:
i. is directly or indirectly involved in the preparation of the Procurement Documents or contract specifications, and/or the evaluation process of such contract;
ii. would be involved in the execution or supervision of such contract, unless the conflict stemming from such relationship has been resolved in a manner acceptable to the Bank throughout the procurement process and execution of the contract; or
c. does not comply with any other conflict of interest situation as specified in the Bank’s Standard Procurement Documents relevant to the specific procurement process.
3.16 The bank requires that consultants:
a- provide professional, objective and partial advice
b- At all times hold the borrower’s interests paramount, without any consideration of future work; and
c -in providing advice, avoid conflicts with other assignments and their own corporate interests
3.17 Consultants shall not be hired for any assignment that would be in conflict with their prior or current obligations to other clients, or that may place them in a position of being unable to carry out the assignment in the best interests of the Borrower. Without limitation on the generality of the foregoing, Consultants shall not be hired under the circumstances set forth below:
a. a firm that has been engaged by the Borrower to provide Goods, Works, or Non-Consulting Services for a project (or an affiliate that directly or indirectly controls, is controlled by, or is under common control with that firm), shall be disqualified from providing Consulting Services resulting from, or directly related to, those Goods, Works, or Non-Consulting Services. This provision does not apply to the various firms (Consultants, contractors, or suppliers), which together are performing the contractor’s obligations under a turnkey or design and build contract;
b. a firm that has been engaged by the Borrower to provide Consulting Services for the preparation or implementation of a project (or an affiliate that directly or indirectly controls, is controlled by, or is under common control with that Consulting firm), shall be disqualified from subsequently providing Goods, Works, or Non-Consulting Services resulting from, or directly related to those Consulting Services.
This provision does not apply to the various firms (Consultants, contractors, or suppliers), which together are performing the contractor’s obligations under a turnkey or design and build contract;
c. neither a Consultant (including personnel and sub-consultants), nor an affiliate (that directly or indirectly controls, is controlled by, or is under common control with that Consultant), shall be hired for any assignment that, by its nature, creates a conflict of interest with another assignment of the Consultant
d. Consultants (including their experts and other personnel, and sub-consultants), that have a close business or family relationship with a professional staff of the Borrower, or of the project implementing agency, or of a recipient of a part of the Bank’s financing, or any other party representing or acting on behalf of the Borrower, that is directly or indirectly involved in any part of:
i. the preparation of the TOR for the assignment;
ii. the selection process for the contract; or
iii. the supervision of the contract, may not be awarded a contract, unless the conflict stemming from this relationship has been resolved in a manner acceptable to the Bank throughout the selection process and the execution of the contract.

Within the current keen interest from the government in improving startups and entrepreneurship, and the vital role of MSMEDA, in supporting MSMEs Eco-system, especially after launching its distinguished program of Venture Capital aims at increasing equity finance for innovative small and medium size enterprises (MSMEs) to enhance the level of startups with high-growth potential in Egypt, There is a need to develop a legislative chapter for entrepreneurship and startups projects, to be amended to the Enterprise Development Law 152, aiming at enhancing legislative and regulatory ecosystem of startups and entrepreneurial projects, and enabling the government to deal positively with the challenges facing this sector, and to foster business innovation, streamlines regulatory requirements. It should align with international best practices while considering the local economic and legal aspects
Objective
MSMEDA is hiring a qualified legal consultant to draft legislative chapter to be amended to the Enterprise Development Law 152. In order to create an enabling legal and regulatory Ecosystem that effectively supports the growth and development of the Egyptian startup ecosystem, addressing their unique challenges while promoting innovation, job creation, and economic growth and provide on regulatory frameworks, incentives and dispute resolution mechanisms
Scope of work
Review MSMEs related laws, bylaws, documents, companies regulations, relevant studies, related to startup support and the international best practices.
Identify and categorize key stakeholders, including startup founders, investors, incubators, accelerators, government agencies, private sector representatives, entrepreneurs and relevant associations.
Select at least 3 international models of the best practices for startups and entrepreneurships ecosystem, and conduct a summaries comparative study, clarifying pros & cons of each, and how to benefit from it.
Design and conduct a detailed policy consultations with relevant stakeholders this includes including workshops, focus groups, online surveys, and individual interviews.
