The Government of the People’s Republic of China has received a co-financing loan from the Asian Development Bank(ADB) and Agence Française de Développement(AFD) toward the cost of Hunan South Dongting Lake Wetland Ecological Restoration and Sustainable Development Project and intends to apply part of the proceeds for the consulting services of Project Implementation Support and Capacity Building (Contract No.: SDL-OP4-Serv-2).
Project Implementation Support and Capacity Building (hereinafter referred to as the “consulting services”) includes but is not limited to as follows: (1) project management; (2) facilitation of procurement, disbursement and contract management; (3) financial management including the facilitation of the loan withdrawal application and preparing the annual project financial statements; (4) project performance monitoring and reporting requirements including producing the project progress reports in a regular basis as the format acceptable to ADB; (5) safeguard management and monitoring; (6) assist the PMO and the relevant authorities to carry out public participation and consultation, public environmental protection awareness raising, educational and knowledge sharing activities, and training; (7) evaluation of project implementation at midterm and completion stages; (8) facilitation of the ADB regular missions to review the project progress, (9) facilitation of implementation of GAP and SDAP; and (10) capacity building of executing agency and implementing agency, relevant governmental agencies and stakeholders for improving their managerial capacity and professional knowledge.
The Consulting Services will be paid out of the proceeds of this loan from ADB and AFD, and adopt a method of Quality-and-Cost-Based Selection (QCBS) in accordance with the Procurement Regulations for ADB Borrowers (2017 version, as revised from time to time). The consulting services will be carried out by a team of consultants through a firm and intends to employ a total of 15 experts of consulting services. A total of 251 person-months, composing of 32 person-months of international and 219 person-months of national consulting services, will be required. The consulting firm can also propose non-key specialists based on their understanding of the project to facilitate the project implementation, to the best extent. The consulting services are expected to start in Q3 2026 and to end in September 2031.
Hunan Yuanjiang Jucheng Development Investment Co., Ltd. (hereinafter referred as the “Implementing Agency”) now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services.
The consulting firms shall meet the following minimum qualification requirements for being shortlisted:
1. The consulting firm shall be a legal entity (or group of legal entities if applying as a joint venture) founded or organized from an eligible member country as defined by ADB.
2.The consulting firm should have good track record and reputation; the consulting firm should have implementation experiences of at least two (2) loan projects that are financed by international financial institutions (IFIs) (IFIs include ADB, World Bank, AFD, European Investment Bank, KfW, etc.), preferably project experiences financed by ADB.
3.The consulting firm should have past experiences in wetland management, ecological restoration, institutional development and environmental improvement projects.
4.The consulting firm shall be very familiar with ADB procedures and requirements including, but not limited to, project management and reporting, procurement, disbursement, environmental and social safeguards compliance, financial management, wetland management, etc.
The consulting firm shall provide such documents as company profile, qualification certificate, organizational structure, description of staffing and facilities, a list of related projects performed(including completed and ongoing projects), evidencing documents for past contracts or references. In case of a joint venture, it is required to provide the necessary Letter of Intent for the joint venture, and all members of the joint venture shall be jointly and severally liable for the entire contract.
The attention of interested Consultants is drawn to Clause 1.19, 1.20, and 1.21 of the Procurement Regulations for ADB Borrowers (2017 version, as revised from time to time), setting forth the Asian Development Bank’s policy on conflict of interest.
The consulting firm may form a joint venture with other firm. The consulting firm shall provide its organizational chart. If shortlisted, the consulting firm will ultimately be selected in accordance with the QCBS (Quality and Cost-based Selection) method as set out in the Procurement Regulations.

The Expressions of Interest (EOI) must be submitted electronically to the ADB CMS platform (https://cms.adb.org) by 9:30 a.m. on May 26, 2026. All applicants shall register in ADB’s CMS system prior to their submission of EOIs. Meanwhile, to facilitate the evaluation, the Consultants shall submit their EOIs in both Chinese and English in hard copy no later than the above-mentioned deadline to the address of Room B311 Multi-Function Hall, 3rd Floor, Area A, Yiyang Public Resources Trading Center, Yiyang Citizen Service Center (Yingbin Road), Hunan Province, including one copy of English version and four copies of Chinese version. The Chinese version and English version of EOI shall be consistent with each other. In case of any discrepancy, the English version shall prevail.

A.Background 背景
1.The Yuanjiang Municipal Government (YMG) has secured a loan of CNY1,065,450,000 from Asian Development Bank (ADB) , and co-financing of EUR 59.81 million (about USD 65 million) from Agence Française de Développement (AFD) for the Hunan South Dongting Lake Wetland Ecological Restoration and Sustainable Development Project (the Project). The project will be aligned with the impact ecological and environmental restoration in Dongting Lake improved. The project’s outcome will be climate resilience and ecological security of wetland ecosystems and livelihoods in the SDL basin enhanced. The proposed four outputs are: (i) Output 1: Institutional capacity for Dongting Lake integrated wetland management enhanced; (ii) Output 2: SDL nature reserve and habitat for waterbirds ecologically restored; (iii) Output 3: Measures to enhance climate-resilient and sustainable livelihoods improved; (iv) Output 4: Knowledge and capacity of local and regional RFI stakeholders improved.

2. The ADB loan portion of the project became effective on 12 March 2024 and is scheduled to be closed on 30 September 2031. A loan agreement was signed with the French Development Agency (AFD) in June 2025. The YMG will be the executing agency. A project management office (PMO) was established at YMG. The implementing agency is Hunan Yuanjiang Jucheng Development Investment Co., Ltd., which is responsible for project implementation. The PMO will provide oversight and ensure coordination across sectors and provide guidance to the project implementation.

3. This document sets out the terms of reference for consulting services needed to ensure the smooth implementation of the project. The Client for the consulting services is the implementing agency, Yuanjiang Jucheng Industrial Development Investment Co., Ltd. (YJDIC).

B.Purpose of the Service 服务目标
4. The objective of the consulting service is to recruit a firm with good track record in the relevant fields with experienced international and national consultants, to provide professional support to the PMO and the project implementing agency in project management and capacity building. The main scope of tasks includes providing consulting services for project management, procurement management, contract management, resettlement, social and gender development, environmental management, financial management, training, etc. The consulting firm shall provide the consulting services to ensure that the project will be implemented in accordance with the ADB relevant guidelines and procedures, that the quality and efficiency of the work at all stages of the project implementation are improved, as to attain the overall project objectives.

C.Scope of Work 工作范围
5. The consulting service for the project management and technical support will include but not be limited to: (1) project management; (2) facilitation of procurement, disbursement and contract management; (3) financial management including the facilitation of the loan withdrawal application, assisting the preparation of the annual project financial statements, and monitoring and providing inputs to implement the Financial Management Action Plan according to the PAM; (4) project performance monitoring and reporting requirements including producing the project progress reports in a regular basis as the format acceptable to ADB; (5) safeguard management and monitoring; (6) assist the PMO and the relevant authorities to carry out public participation and consultation, public environmental protection awareness raising, educational and knowledge sharing activities, and training; (7) evaluation of project implementation at midterm and completion stages; (8) facilitation of the ADB regular missions to review the project progress, (8) facilitation of implementation of GAP and SDAP; and (9) capacity building of executing agency and implementing agency, relevant governmental agencies and stakeholders for improving their managerial capacity and professional knowledge.

D.Implementation Arrangements实施安排
6. The consulting services for project implementation support will be carried out by a team of consultants through a firm. A total of 32 person-months of international and 219 person-months of national consulting services will be required. The consulting firm may engage or add non-key specialists based on their understanding of the project to facilitate the project implementation, to the best extent. The consulting services will be financed by the Asian Development Bank (ADB). The consulting firm will be selected by (i) inviting full technical proposals; and (ii) using the quality- and cost-based selection (QCBS) method, with a quality-cost weighting ratio of 90:10. The consulting services are expected to start in Q3 2026 to September 2031. The service scope of this consulting contract covers the designated project area within the administrative boundaries of Yuanjiang City, Yiyang City, Hunan Province. A list of key consultants is provided in the table below.

E.Qualification Requirements and Detailed Tasks for Specialists 专家资质要求及详细任务
7. Requirements for the consultant.: The consulting firm is expected to have good track records and reputation, with implementation experiences of at least two (2) loan projects that are financed by international financial institutions (IFIs)[ IFIs include ADB, World Bank, AFD, European Investment Bank, KfW, etc. 国际金融机构包括亚洲 开发银行、世界银行、法国开发署、欧洲投资银行、德国复兴信贷银行等。], preferably project experiences financed by ADB. 8. For each of the international and national consultant positions, the specialists shall have (i) relevant degrees and qualifications; (ii) sound technical experience in relevant specialist fields with sufficient practice; and (iii) experience in consulting projects in the PRC.

I.Wetland Specialist(international, 20 person-months)

9. The specialist/will have a post graduate degree in ecological engineering or environmental engineering and over 20 years work experience related to wetland ecological protection and management. The specialist is expected to have strong expertise in wetland ecology and familiarity with international cooperation projects in bilingual (English-Chinese) environments. Familiarity with ADB"s policy and procedures will be highly regarded.

10.The expert shall perform but not limited to the following major tasks:
(i)Develop and implement comprehensive monitoring plans for the South Dongting Lake wetlands, covering wetland health assessment, vegetation and biodiversity monitoring, waterbird habitat conditions, hydrological dynamics, and climate change impacts; establish or contribute to real-time environmental monitoring systems and smart decision-support platforms (e.g., IoT-based systems).
(ii)Conduct field surveys and data collection to evaluate wetland degradation levels, hydrological connectivity, invasive species distribution, ecosystem service functions (such as water purification, carbon sequestration, and flood regulation), and key threats to the ecosystem.
(iii)Analyze monitoring data to assess wetland ecosystem health, biodiversity status, and climate adaptation capacity; provide scientific recommendations for restoration interventions, including shallow marsh development, small island habitat creation, and restoration of approximately 12,000 hectares of degraded wetlands.
(iv)Assist in developing climate adaptation plans and wetland management strategies, incorporating nature-based solutions (NbS), invasive species control, eco-compensation mechanisms, and sustainable livelihood transitions (e.g., supporting fishermen in shifting to alternative livelihoods, promoting ecological agriculture, and organic products).
(v)Draft and revise technical reports, including wetland health evaluation reports, annual monitoring reports, climate risk adaptation plan drafts, and contributions to updates of the Hunan SDL Provincial Nature Reserve Master Plan and the SDL International Important Wetland Management Plan.
(vi)Support project implementation activities, such as coordinating ecological restoration survey and design, facilitating International Wetland City accreditation, integrating eco-tourism planning, guiding wetland museum and education center functions, and establishing multi-departmental and multi-stakeholder participation mechanisms.
(vii)Collaborate with other consultants (e.g., biodiversity experts, ecological restoration designers, capacity building specialists) to integrate wetland protection into the broader project framework, enhancing ecosystem services, migratory bird flyway connectivity (aligned with the Regional Flyway Initiative), and livelihood improvements for basin residents.
(viii)Provide capacity building support, including training for local wetland managers, patrollers, and community members; promote volunteer protection systems and knowledge sharing.
湿地专家需承担但不限于以下主要任务:

II.Ecological Restoration and Waterbird Habitat Specialist (international, 12 person- months)

11.The ecological restoration and water birds habitat specialist should have in-depth understanding and expertise in international best management practice of wetland management, ecological restoration, migratory waterbird habitat management, etc. The specialist should have a postgraduate degree in environmental or ecological sciences, engineering or relevant field, and at least 15 years of work experience, preferably with knowledge of working in PRC, expertise with wetland scientific data and the institutional frameworks, policies and plans for conservation and restoration of protected areas (including nature reserves, natural parks and wetland parks) in the PRC.
生态恢复与水鸟栖息地专家应具备对湿地管理、生态恢复、候鸟栖息地管理等方面的国际最佳管理实践有深入理解和专业知识。该专家应拥有环境或生态科学、工程或相关领域的研究生学位,并至少有15年的工作经验,最好具

12.The specialist shall perform but not limited to the following major tasks:
(i) Assist the international consultants to work on all design specific elements related to wetland management and conservation for the nature reserve and protected areas of SDL, including but not limited to:
a.Based on the data provided by the feasibility study reports, Support the technical review, screening, gap analysis of the selected project sites selected for the wetland restoration and conservation activities;
b.Development of an updated SDL management plan including species action plans in line with the objects of the Ramsar Convention;
c.Development of management measures and direct interventions for creation of aquatic habitat;
d.Development of management and direct interventions for wetland habitat restoration and removal of non-natural habitat (i.e., poplar
plantations), and
e.Development of management and direct interventions for creation of habitat specific for key target species for SDL (such as wader scrapes, safe roost sites etc.);
f.Advise on measures for pollution management and control;
g.Conduct fieldwork as needed to collect, analyze and review data, and conduct stakeholder consultations as needed;
h.Lead the preparation of technical management actions for wetland restoration.
(ii) Together with PMO and implementing agency,the design institutes
And other relevant agencies and stakeholders (including the private sector and civil society), carry out a comprehensive institution analysis and mapping of stakeholders involved in the management of SDL nature
reserve and connected wetlands with identified roles and responsibilities to design institutional development plan and training contents.
(iii)undertake other tasks as may be reasonably set by the team leader and the PMO.

The specialist/Team Leader should have: (i) a master’s degree or higher degree in construction management, economic management closely related fields; (ii) at Least 20 years of relevant experience with recognized expertise in the implementation of international financial institutions funded projects; (iii) Recent experiences as the team leader for ADB projects and familiarity with the domestic and ADB project management, construction, procurement, financial regulations and practices; (iv) good communication skills with the contractors and other relevant organizations; and v) proficiency in written and spoken English.

14.The specialist shall work as team leader to provide overall project management and coordination for the project implementation. S/he will be responsible for providing technical and management support for project progress management, capability building and training, and output quality control. Specific tasks include but are not limited to the following:
(i)lead all project management support activities as the team leader;
(ii)conducting project management during the project implementation, including monitoring construction progress, preparing progress reports, reviewing the contractor’s claims for payments,coordinating project Implementation among contractors and various stakeholders, and coordinating daily operational tasks;
(iii)providing expert inputs, review and justification for contract variation and preparing necessary documentations in accordance with the Government and ADB requirements, if necessary;
(iv)capacity development (including training of trainers,etc.);
(v)conduct routine site visits and provide technical inputs to construction planning, supervision and monitoring for quality control of the subproject construction;
(vi)conduct quality assurance and review of payment certificates for quality and payment controls for implementing agencies’ managed contracts;
(vii)conduct evaluation of construction work and project implementation upon completion of the subprojects and the project as whole, stressing on quality control and cost control in particular;
(viii)identify detailed capacity development needs for sustainable infrastructure services and governance;
(ix)propose and finalize overall approaches for project management support in implementation, monitoring, and evaluation of the project;
(x)lead the preparation of the inception report, draft project completion report (PCR), and final PCR, and conduct quality control of deliverables produced by the team
(xi)assess capacity development needs for governmental officials, PMO staff, the implementing agency staff;and facilitate planning and
(xii)monitor the overall project implementation including the achievement of project outputs and outcome and the compliance with key legal covenants,wetland management, procurement, construction, safeguards, to identify key implementation issues, and lead the team to provide solutions for problems encountered
(xiii)establish effective mechanism and ensure smooth collaboration between the implementation supporting team and other consultants engaged by the PMO
(xiv)undertake any other necessary tasks as mutually agreed by the PMO, implementing agency and the Consultant

15.The specialist should have: (i) a bachelor’s degree or higher degree in procurement, contract and construction management closely related fields; (ii) at least 10 years of relevant experience with recognized expertise in the preparation or implementation of international financial institutions funded projects; (iii) good knowledge on the domestic and ADB procurement, contract management regulations and practices; (iv) good communication skills with the contractors and other relevant organizations; and v) proficiency in written and spoken English.

16. Tasks and responsibilities of the specialist include but not limited to the following:
(i)Monitor procurement activities under the project and assist the PMO in updating and implementing the strategic procurement and procurement plans;
(ii)Assist project management offices (PMO) and project implementing units in procurement of civil engineering works, equipment, consulting services and other contracts in accordance with China"s and ADB"s policies and procedures; and in conducting management of contracts, including, but not limited to, supervision, and inspection of activities under contracts; payments to contractors, suppliers, and consultants; preparation of withdrawal applications; improvement of fund flow efficiency by streamlining the preparation of withdrawal applications; and contract variations, as necessary;
(iii)Provide training on procurement and contract management to staff of project offices, project implementing units, and procurement agencies;
(iv)Review tender documents including bill of quantities and technical specifications to ensure alignment between drawings, lists, and technical specifications;
(v)Facilitate communication with ADB procurement officers to ensure bid evaluation processes comply with ADB procedures and guidelines;
(vi)Assist in contract signing and review of contract drafts;
(vii)Participate in ADB"s regular inspections;
(viii)Assist team leaders in preparing semi-annual progress reports, mid-term reports, and project completion reports;
(ix)Perform other related tasks assigned by team leader.

V.Wetland Management and Water Resource Specialist (National, 16 person-months)

17.The specialist will have a postgraduate degree and/or relevant qualification in natural resources management,ecology, biodiversity conservation and/or planning, environmental science or related field and at least 10 years of work experience wetland management including natural habitat restoration, freshwater eco systems and landscape management approaches.

18.The specialist will be responsible for providing technical and management support for wetland management and water resource management. Specific tasks include but are not limited to the following:

(i) Assist the international consultants to work on all design specific elements related to wetland management and conservation for the nature reserve and protected areas of SDL, including but not limited to:

b.Development of an updated SDL management plan including species action plans in line with the objects of the Ramsar Convention;
c.Development of management measures and direct interventions for creation of aquatic habitat;
d.Developmentofmanagementanddirectinterventionsforwetland habitat restoration and removal of non-natural habitat (i.e., poplar plantations), and
e.Development of management and direct interventions for creation of habitat specific for key target species for SDL (such as wader scrapes, safe roost sites etc.);
f.Advise on measures for pollution management and control;
g.Conduct fieldwork as needed to collect, analyze and review data, and conduct stakeholder consultations as needed;
h.Lead the preparation of technical management actions for wetland restoration.
(ii) Together with PMO and implementing agency, the design institutes and other relevant agencies and stakeholders (including the private sector and civil society), carry out a comprehensive institution analysis and Mapping of stakeholders involved in the management of SDL nature reserve and connected wetlands with identified roles and responsibilities to design institutional development plan and training contents.

19.The specialist should have: (i) a master’s degree or higher degree in agriculture, ecology related fields; (ii) at least 10 years of relevant experience with recognized expertise in green agriculture development projects and familiar with resource efficiency agrotechnology; (iii) at least five years or more of working experience in loan projects with international financial organizations; (v) good facilitation and presentation skill; and (vi) proficiency in written and spoken English.

20.The specialist will be responsible for providing technical and management support for bidding document review, and technical training. Specific tasks include but are not limited to the following:
(i) support the eco-compensation management team to implement the eco- compensation mechanism.
(ii) review the green agriculture related technical solutions;
(iii) review the design of well-facilitated farmland and provide comments for improvement;
(iv) provide training on green agriculture application and other related knowledge, if needed; and
(v)undertake any other necessary work assigned by the team leader.

21.The specialist will have: (i) a master’s degree or higher in environmental management or related field; (ii) at least 10 years of experience in environmental management, monitoring, and/or impact assessment; (iii) familiarity with ADB project management requirements and national environmental management procedures; (iv) ability to communicate and work effectively with local communities,contractors,and government agencies; (v) ability to analyze data and prepare technical reports; (vi) willingness and health to regularly visit the subproject sites; and (vii) proficiency in spoken and written English.

22.The specialist will perform, but not be limited to, the following tasks:
Before construction:
(i) Ensure project environmental readiness, including:(i) all contractor contracts include, and will comply with, the EMP; and (iii) relevant sections of the EMP are incorporated into construction plans and contracts.
(ii) Assist the PMO and implementing agency to implement the GRM, including:(i) establish and publicize the GRM; and(ii) collate and evaluate grievances received.
(iii) Develop procedures to: (i) monitor EMP implementation progress; (ii) collate and evaluate data collected in the EMP environmental monitoring program; and (iii) prepare and submit the semiannual environmental monitoring reports to ADB (to continue until project completion report).
(iv) Undertake training of project agencies as required by the EMP training plan.
(v) Provide hands-on support and on-the-job training to the PMO, implementing agency, and contractors on the specific requirements of the EMP as required.
(vi) ensure that relevant mitigation, monitoring, and reporting measures in the EMP are included in the "bidding documents", contracts, and relevant construction plans;
(vii) Distribute the Chinese language version of the EMP to all relevant agencies;
(viii)Assess whether the EMP requires updating due to any changes in project design; prepare the Environmental Due Diligence Report (EDDR) or update the environmental safeguard documents as needed;
(viiii) Confirm that the IA/PIUs responsible for the internal environment monitoring described in the EMP understand their tasks and will implement the monitoring in a timely fashion.

During project implementation:
(i) Undertake site visits during subproject construction and operating phase.
(ii) Assist in the ongoing public consultation process as described in the project IEE.
(iii) Conduct and monitor project compliance with the project EMP and all relevant assurances and covenants in the loan and project agreements for environmental safeguards; identify any environment-related implementation issues; and propose necessary responses in corrective action plans.
(iv) Undertake training of project agencies as required by the EMP training plan and provide hands-on support and on-the-job training to the PMO, implementing agency, and contractors on the specific requirements of the EMP as required.
(v) Assist the PMO and implementing agency in managing the accredited environmental external monitoring agencies for conducting periodic environmental impact monitoring in compliance with the approved monitoring plan defined in the project EMP.
(vi) Developing procedures to: (i) monitor subproject EMP implementation progress; (ii) collate and evaluate data collected in the subproject EMPs environmental monitoring programs; and(iii)prepare and submit the semiannual environmental monitoring reports to ADB (to continue until project completion report).
(vii) Assist the PMO to prepare semiannual environmental monitoring progress reports for submission to ADB. The reports will focus on progress with implementation of the EMP, compliance with environment-related project assurances, and results of the environment monitoring.
(viii) undertake other necessary tasks assigned by the team leader.
(ix)assisting the PMO prepare the Biodiversity management and monitoring plans (BMMPS);
(x) assisting the PMO in reviewing the site-specific EMPs prepared by the contractors;
(xi) ensure that all relevant agencies submit required progress reports and information, including environmental monitoring and reports of any issues or grievances.
(xii) Compile, review, and store periodical report from the contracts and Construction Supervision Companies, environmental progress reports from the IA, records of any grievances, and any other relevant issues.
