Background: The Government of Georgia (the “Government”) wishes to see the mining sector make a more fulsome contribution to the economy and public finances, and has identified the sector as a priority area of focus for reform and development efforts. With that in mind, the Government believes that the preparation of a progressive policy and strategy framework, and modernisation of the legislative and regulatory basis for the sector should significantly reduce investor risk and enhance the investment climate, thereby making viable operations by responsible investors more likely. To achieve these objectives, the Government has committed to a programme of mining sector development which will involve three main pillars: (i) preparation of a strategy and policy for responsible development of the sector; (ii) renewal of the legislative framework for the sector based on the new strategy and policy; and, (iii) ensuring efficient and effective implementation of strategy, policy and law through institution strengthening and capacity building for relevant responsible agencies of state.

To help achieve its goals for the sector, the Government has requested the support of the European Bank for Reconstruction and Development (the ‘EBRD’). In response, the EBRD has included development of the mining sector as an area of focus in its current Georgia country strategy, and has agreed to support the Government in its reform efforts with a programme of technical cooperation (the ‘Programme’). External consulting advisors (the ‘Consultant’) will be retained to assist with the implementation of this Programme which is envisaged will have three phases, mirroring the pillars of Government reform: (i) strategy and policy development; (ii) preparation and adoption of laws and regulations; and, (iii) institution strengthening and capacity building. EBRD now wishes to retain a Consultant to assist with the implementation of phase I of the Programme (the “Assignment”).

Assignment Objectives: The Assignment’s objective is to provide conceptual, technical and practical support to the Ministry for Environment and Natural Resources Protection (MoENRP), the National Environmental Agency and, Ministry of Economy and Sustainable Development (MoESD) in the development, consultation and adoption of a modern strategy and policy framework, reflective of proven best practice, for the mining sector in Georgia.

Assignment Tasks: The Assignment will comprise a number of specific tasks focussed upon the achievement of its objectives. The Consultant will perform the following tasks within this Assignment:

a) Sector review: A review of existing policies, strategies, laws, regulations, practices and other documents connected to the mining sector currently in existence in Georgia;

b) Identification of best practice Identification of international best practice for developing the mining sector through incentivising private investment in exploration and exploitation activities;

c) Options and recommendations: Identification of specific policy and strategy options transitional plan for existing licensees which will enable the adoption and implementation of best practice in Georgia;

d) Transparency in extractives: A review the prevalent principles and standards applying to the transparency in the governance and administration of the extractives sector, together with an exploration of the value and appropriateness of adopting particular principles and standards in Georgia;

e) Implementation planning: An implementation plan which will identify specific steps that need to be taken on a practical level to achieve effective implementation of the assignment’s recommendations;

f) Support for public consultation: The Consultant will support the public consultation of the recommendations, likely at a consultation workshop in Tbilisi;

g) Consultation reporting and policy/strategy finalisation: Following the consultation workshop the Consultant will support the preparation of a report on consultation, detailing the consultation and responses thereto ahead of the finalisation of policy/strategy text prior to submission to government; and

h) Support for policy/strategy approval: The Consultant will help to present and explain the recommendations to the Government for their review, consideration and approval.

Assignment Duration: It is envisaged that the Assignment will have a duration of approximately 9 months.

Maximum Budget Available: EUR 95,000.00; exclusive of VAT.

The consultant must determine whether any VAT would be chargeable on the services and the basis for that determination, without taking into consideration the Bank"s special status as an IFI and state this to the Bank in their financial proposal. To the extent that a consultant incurs input VAT on goods and services purchased in connection with the provision of services (e.g. VAT on airline ticket) which is not otherwise recoverable by the consultant from the local tax authority, the gross cost to the consultant of such expenses shall be treated as a reimbursable expense.

Funding Source: It is anticipated that the assignment will be financed by the EBRD Shareholder Special Fund.

Eligibility Restrictions: No eligibility restrictions.

Consultant Profile: Corporate Services are required. The Consultant will be a firm or a group of firms with previous project experience related to policy and strategy development in the mining sector.

The project team will consist of: (a) Team Leader/senior mining sector policy advisor; (b) supporting legal advisor(s); and (c) mining sector specialist(s).

The team leader/senior advisor will possess preferably a minimum of 10 years’ substantive experience in the Assignment subject matter, and the legal advisor(s) and mining sector specialist(s) will possess preferably at least 7 years’ substantive experience in Assignment subject matter.

Both the team leader and mining specialist(s) will have proven experience in economic, financial, technical, environmental and licensing matters related to the mining sector. The assignment team will otherwise have appropriate qualification and specific experience in the mining sector in the subject matter of the tasks set out above.

Both the team leader/senior advisor and the legal advisor(s) will have proven experience in policy and strategy development in the mining sector, having previously undertaken such assignments for government clients in environments similar to that of Georgia.

At least one legal advisor will be qualified to practice in Georgia and possess preferably at least three years’ proven experience in legal analysis in Georgia.

In-country time commitment: While much of the Project can be performed remotely, the team leader and relevant team members will be required to spend specific project time in Georgia. Internationally based team members will work on-site in Georgia for a minimum of 20% of project time and to be generally available during the course of the project to respond to queries.

Submission Requirements: In order to determine the capability and experience of Consultants seeking to be selected for this Assignment, the information submitted should include the following:

1. Company/group of firms’ profile, organisation and staffing (max. 2-4 pages);

2. Details of previous project experience or similar assignments particularly undertaken in the previous five years, including information on contract value, contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided (if different from duration) , main activities, objectives;

3. CVs of key experts who could carry out the Assignment detailing qualifications, experience in similar assignments, particularly assignments undertaken in the previous five years, including information on contracting entity/client, project location/country, duration (mm/yy to mm/yy), expert months provided, assignment budget, main activities, objectives;

4. Completed Consultant Declaration Form and Contact Sheet, the template for which is available from the following web-link:

1. The selection will normally be made from responses to this notification only. Consultants will not be asked to submit a proposal. The highest-ranked Consultant will be selected and invited to negotiate the contract;

2. The shortlist criteria are:

(a) Firm’s previous project experience in the environments similar to those of Georgia (15%)

(b) Firm’s previous project experience in the preparation and supporting the passage of mining sector policy/strategy (30%)

(c) CVs of Key Experts (55%)
